MeetBanner End User License Agreement

This End User License Agreement ("Agreement") governs your use of MeetBanner (the "Application"), a macOS application provided by WATRIX LLC ("we", "us"). By downloading, installing, or using the Application, you agree to be bound by this Agreement.

1. Acknowledgement

This Agreement is concluded between you and us only, and not with Apple Inc. or its subsidiaries ("Apple"). We, not Apple, are solely responsible for the Application and its content, maintenance, support services, and any claims relating to the Application.

2. Scope of License

We grant you a non-transferable, non-exclusive license to use the Application on any Apple-branded device that you own or control, as permitted by the Usage Rules of the Apple Media Services Terms and Conditions. You may not distribute, rent, lease, sell, or sublicense the Application, nor reverse engineer, decompile, disassemble, or modify it except to the extent permitted by law. This Agreement licenses, and does not sell, the Application to you.

3. Subscription ("MeetBanner Pro")

1. The Application is free to download and includes a 14-day free period, starting from first launch, during which all features are available. This free period is managed by the Application itself and is not an App Store free trial.
2. After the free period, continued use of the streaming features requires an auto-renewable subscription purchased through in-app purchase:

   Prices in other territories are those displayed on the App Store.

3. Subscriptions renew automatically. Unless cancelled at least 24 hours before the end of the current period, the subscription renews for the same length at the same price, and your Apple ID account is charged.
4. You can cancel at any time in App Store → Account → Settings → Subscriptions on your Mac, or in Settings → Apple ID → Subscriptions on iPhone/iPad. You keep access until the end of the period you have already paid for.
5. Payment is charged to your Apple ID account at confirmation of purchase. We are not able to issue refunds for subscription fees; refunds are governed and decided by Apple.
6. If prices change, we will notify you in advance through the App Store or in the Application.

4. Maintenance and Support

We are solely responsible for providing maintenance and support for the Application. Apple has no obligation whatsoever to furnish any maintenance or support services. Contact: wataru@watrix.jp

5. Warranty

In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for the Application. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application. Except as stated above, the Application is provided "as is" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law. The Application is designed to be used alongside third-party meeting services (such as Zoom or Google Meet); we are not affiliated with, endorsed by, or certified by those providers, and you acknowledge that changes on their side may affect the Application.

6. Product Claims

We, not Apple, are responsible for addressing any claims by you or any third party relating to the Application, including product liability claims, any claim that the Application fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.

7. Intellectual Property Rights

All intellectual property rights in the Application belong to us or our licensors. You retain rights in the cards, banners, images, videos, and other materials you create or display with the Application ("Your Content"), and you represent and warrant that you hold the rights or permissions necessary to use Your Content. In the event of any third-party claim that the Application infringes intellectual property rights, we, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

8. Legal Compliance

You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; (b) you are not listed on any U.S. Government list of prohibited or restricted parties; and (c) you will comply with all applicable laws in your use of the Application.

9. Privacy

All video and image processing happens on your Mac; the Application does not send your video to external servers. See our privacy policy.

10. Termination

This license terminates automatically if you fail to comply with this Agreement. Upon termination you must stop using the Application and delete it.

11. Third Party Terms

You must comply with applicable third-party terms of agreement when using the Application (for example, your wireless data service agreement and the terms of the meeting services you use).

12. Third Party Beneficiary

You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary hereof.

13. Governing Law

This Agreement is governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any dispute arising out of this Agreement.
